RACKD – Seller Agreement & Policies

This Seller Agreement outlines the terms, conditions, and responsibilities for all sellers renting rack space at RACKD. By booking a rack, you acknowledge and agree to the following policies.

1. Rack Rentals & Setup Requirements

1.a Weekly Rentals & Pre-Arrival Prep:

Rentals run from Friday to Thursday. To make your Friday setup as easy as possible, you must pick up your tagging gun and supplies in advance (up to 6 days before your start date). All items must be tagged and ready to hang before you arrive for your Friday setup. We highly recommend tagging extra items so you can restock your rack throughout the week! 

Sellers are responsible for ensuring every item tag contains the required seller identification. Rackd is not responsible for delays, errors, or identification issues caused by missing, incomplete, or illegible seller information on tags.

Rack Presentation & Stock Levels

Sellers are expected to keep their rack reasonably full and well-presented throughout their rental period. Racks that are significantly understocked or largely empty may negatively impact the shopping experience.

RACKD reserves the right to request that sellers restock their rack or remove the rack from the sales floor if it remains substantially understocked. Repeated failure to adequately stock a rack may affect eligibility for future rentals. No refunds or credits will be issued if a rack is removed for failure to meet minimum presentation standards.

1.b Failure to Set Up / Abandoned Rack Reservation

Sellers are expected to set up their rack during their scheduled Friday rental start time.

If you are unable to arrive as scheduled, you must notify RACKD as soon as possible. While we will make reasonable efforts to accommodate unforeseen circumstances, accommodations are made solely at management's discretion.

If a seller has not arrived for setup and has not contacted RACKD before the close of business on Friday, the reservation may be considered abandoned. RACKD reserves the right to reassign, rent, or otherwise utilize the reserved rack space beginning Saturday.

No refunds, credits, transfers, or extensions will be issued for unused rental time resulting from a seller's failure to set up or communicate within the required timeframe.

1.c Equipment Return & Penalties:

Tagging guns and unused tags must be returned in their provided box during your Friday setup. By booking, you authorize RACKD to deduct a $10 equipment replacement fee (plus any other outstanding late or supply fees) directly from your final payout if items are not returned.

1.d Accepted, Prohibited & Removed Items

We love clean, gently used clothing, shoes, and handbags! All items must be clean, in excellent condition, and free from stains, excessive wear, pilling, excessive pet hair, and strong odors, including smoke, mildew, perfume, or other offensive smells.

To comply with local regulations and maintain RACKD's quality standards, the following items are prohibited:

  • Jewelry & Timepieces: Individual jewelry of any kind is not permitted. This includes costume jewelry, fine jewelry, watches, smartwatches, and body jewelry. Exception: Sealed mystery jewelry jars approved by RACKD are permitted.

  • Health & Beauty: No used or opened cosmetics, fragrances, or personal care items.

  • Hazardous Goods: No recalled products or items that do not meet applicable safety standards.

  • Authenticity: No counterfeit, replica, or imitation designer goods. (See Section 9 for legal responsibilities.)

Right of Removal: RACKD reserves the right to remove, relocate, or refuse any item, or an entire rack if necessary, without prior notice if merchandise does not meet store standards. This includes, but is not limited to, items that are damaged, stained, dirty, excessively wrinkled, contain excessive pet hair, have strong odors, are outdated, poor quality, inappropriate for the store, suspected to be stolen, counterfeit, or otherwise unlawfully obtained.

Items removed from the sales floor will be held for seller pickup. Repeated violations of merchandise standards may result in termination of the rental without refund, at management's discretion.

1.e Photography & Social Media Promotion:

To help your items sell, we reserve the right to photograph and video your pieces for use on our social media channels, website, and promotional ads.

1.f Seller Responsibility Before Booking

Sellers are responsible for reviewing rack sizes, pricing, rental terms, and store policies before making a reservation. RACKD encourages prospective sellers to visit the store or contact staff with any questions before booking. Reservations will not be refunded due to misunderstandings regarding the rental space or program.

2. Commission, Payout, & Taxes

2.a Commission & Fees:

A 30% sales commission is applied to all sales. In addition, a $3.00 supply fee will be deducted for each rack rented during each rental week. For example, two racks rented for one week will incur a $6.00 supply fee, and one rack rented for two weeks will also incur a $6.00 supply fee.

Seller authorizes RACKD to deduct all applicable commissions, supply fees, and equipment penalties (as noted in Section 1.b) from their payout prior to issuance of the final payout.

2.b Payout Method & Collection:

Seller payouts are issued via Cash (up to store cash-on-hand limits), CashApp, or Zelle at the conclusion of the rental period during designated store hours. If receiving payment via CashApp or Zelle, the Seller is solely responsible for providing the correct handle or linked mobile number/email; RACKD is not liable for funds sent to an incorrect account provided by the Seller. RACKD is not responsible for delayed payouts due to the Seller’s failure to collect during designated times. Any digital transfer fees incurred by the seller's bank are the responsibility of the seller.

Seller Payout Summary

At the conclusion of the rental period, sellers will receive a payout summary showing the total number of items sold, gross sales amount, applicable commissions/fees, and final payout amount.

Detailed itemized sales reports listing each individual item sold may not be provided. Rackd maintains internal transaction records for operational purposes and reserves the right to determine the format of payout documentation provided to sellers.

At the end of your rental, you’ll receive a payout summary including:
• Total items sold
• Gross sales total
• Rackd commission/fees
• Final payout amount

Please note that individual itemized sales breakdowns may not be provided with payout paperwork.

2.c Tax Obligations:

RACKD collects and remits all applicable Kansas Retailers’ Sales Tax on sales made in-store. The payout issued to the Seller is "net" of RACKD’s commission, fees, and sales tax. The Seller assumes sole responsibility for all personal income tax obligations arising from their net payouts. Seller agrees to provide a Form W-9 if sales volume meets state or federal reporting thresholds.

2.d Unclaimed Payouts & Dormancy Fees:

Payouts not collected within 90 days of the rental end date will be converted to RACKD Store Credit. All inactive balances are subject to a monthly $5.00 Dormancy Fee. This fee covers administrative costs and will be deducted from the balance until it reaches zero or for a maximum of five (5) years. For balances over $100, RACKD will provide written notice 30 days prior to the first fee deduction. After five years, remaining funds are remitted to the State of Kansas per law.

3. End of Rental & Item Pickup

Pickup Schedule: All unsold items must be collected on Thursday between 6:30 PM and 7:30 PM, unless a pre-approved Extra-Day Pickup add-on has been purchased.

Late Pickup Fees: Items not collected during the scheduled pickup window will have the following fees deducted from the seller's final payout:

  • Friday (during store hours): $5.00

  • Saturday (during store hours): $6.00

  • Sunday (during store hours): $7.00

Item Identification & Unclaimed Merchandise

Sellers are responsible for ensuring all merchandise is properly tagged and clearly marked with the required seller identification. While RACKD makes every reasonable effort to organize merchandise, track inventory, and return all unsold items, RACKD is not responsible for items that cannot be identified due to missing, damaged, illegible, altered, or detached tags.

Prior to seller pickup and payout, RACKD staff will make reasonable efforts to return misplaced or unidentified items to the correct seller. This may include setting unidentified items aside for seller review during pickup.

 

If ownership of an item cannot be reasonably verified after these efforts, the item will be considered unclaimed merchandise. RACKD reserves the right to donate, sell, or otherwise dispose of unidentified items at its sole discretion without compensation.

Abandoned Merchandise

Items not picked up by the close of business on Sunday may be considered abandoned.

As a courtesy, RACKD will attempt one final text message or email using the contact information on file. If merchandise remains unclaimed 24 hours after this final notice, the seller forfeits all ownership rights.

At that time, RACKD may sell, donate, discard, or otherwise dispose of the merchandise without further notice or compensation.

High-Value Items: For any individual item with an estimated resale value exceeding $100, RACKD will provide a 48-hour grace period following the final notice before ownership transfers.

Voluntary Donation: Sellers may choose at setup to have any remaining merchandise automatically donated at the end of their rental period.

4. Staff Rack Setup (Optional)

Sellers may purchase a Staff Rack Setup add-on for an additional fee.

To allow adequate time for preparation, items for Staff Rack Setup should be dropped off no later than the day before the seller's scheduled rental start date. While Rackd will make reasonable efforts to accommodate later drop-offs, Staff Rack Setup is not guaranteed for items delivered on Friday.

If selecting this option, sellers must include a clear and detailed pricing list with their drop-off items. If no pricing list is provided, sellers authorize RACKD staff to price items at their professional discretion based on condition, style, and market demand.

All staff-set prices are final. By opting for Staff Rack Setup without a price list, the seller waives the right to dispute pricing or claim loss of potential revenue. RACKD is not responsible for disputes or perceived undervaluation of merchandise when no pricing list is supplied.

5. Liability & Risk

5.a Environment & "As-Is" Space:

Rack space is provided "as-is." Sellers acknowledge that a retail environment involves certain risks, and items may experience "shelf wear," minor staining, or damage from customers handling or trying on clothing. RACKD does not guarantee specific sales results.

5.b Theft, Loss & Assumption of Risk:

RACKD is not responsible for theft, loss, or damage to merchandise (including fire or water damage). Sellers assume full responsibility for their inventory. Small or easily concealed items like sunglasses, wallets, and accessories are stocked at the seller’s own risk. RACKD does not provide insurance for your inventory; obtaining coverage is the seller’s responsibility.

6. Cancellations & Operational Changes

All rack rentals are final, non-refundable, and non-transferable.

Sellers may request to reschedule their rental one (1) time by providing at least seven (7) days' notice before their scheduled rental start date. Rescheduling is subject to availability and is not guaranteed.

Requests made fewer than seven (7) days before the scheduled rental start date are not eligible for rescheduling or a refund. This includes situations where tagging supplies have already been issued, the rental space has been reserved, or preparations for the rental period have begun.

Failure to arrive for a scheduled rental, failure to notify RACKD within the required timeframe, or cancellation within seven (7) days of the rental start date will result in forfeiture of the rental fee.

Store Hours & Operational Changes

Rack Rentals are sold by rental period and are not based on or guaranteed a specific number of store operation days or hours. Scheduled store closures, changes to regular business hours, holidays, or other planned operating changed do not extend the rental period or qualify for refund or credit. 

Store hours and operations are subject to change without notice due to staffing, emergencies, weather, or other unforeseen circumstances. In the event of a significant closure affecting a seller's rental period, RACKD may extend the rental period or provide another reasonable accommodation at management's discretion.

RACKD shall not be responsible for delays, closures, or interruptions caused by weather, natural disasters, utility failures, government actions, pandemics, or other events beyond its reasonable control.

7. First-Time Seller Guarantee

RACKD offers a one-time First-Time Seller Guarantee. If a first-time seller's earned commission during their completed first rental week does not exceed the weekly rack rental fee, RACKD will cover the difference.

To qualify, sellers must:

  • Be a first-time RACKD seller.

  • Complete their full first rental week.

  • Have their rack fully stocked at the initial Friday setup.

  • Remain in compliance with all RACKD policies throughout the rental period.

This guarantee applies to one completed rental week only and does not apply to canceled reservations, no-shows, shortened rental periods, or rentals terminated due to policy violations.

Sales tax, processing fees, and any optional add-ons are excluded from this guarantee and are not refundable.

8. Store Conduct & Professionalism

8.a Respecting Other Racks:

Sellers may not interfere with other sellers’ items, pricing, or displays. Moving merchandise, altering tags, or intentionally blocking another rack's visibility is strictly prohibited.

8.b Professionalism & Social Media:

RACKD is a community built on mutual respect. Sellers agree to interact professionally and refrain from contacting other sellers via social media or private messages to initiate store-related disputes.

8.c Store Reputation:

To protect our marketplace, sellers agree not to engage in communication—whether public or via private messaging—intended to disparage or harm the reputation of RACKD, its staff, or its sellers. We ask that any grievances be brought directly to management for resolution.

8.d Right to Terminate:

RACKD reserves the right to remove any seller and their items immediately for disruptive behavior or policy violations. 

RACKD reserves the right to refuse future rentals or terminate a seller relationship due to repeated policy violations, abusive language, harassment, fraud, theft, or conduct that negatively affects staff, customers, or other sellers.

9. Authenticity & Legal Ownership

Sellers guarantee that all items are authentic and legally theirs to sell. If a dispute arises regarding items suspected to be stolen, counterfeit, or unlawfully obtained, RACKD may freeze payouts and cooperate with law enforcement; no funds will be released until ownership is verified. Sellers agree to cover any legal fees or penalties RACKD faces due to the sale of counterfeit, stolen, or recalled items provided by the seller, and agree to hold RACKD harmless from any legal claims or fees related to their items.

10. Discount Days (Optional Participation)

RACKD offers optional discount days to help increase sell-through and maximize seller payouts. Participation is selected at the time of booking and is final for the duration of the rental period. Sellers may choose:

  • Option A: Wednesday & Thursday: 20% off

  • Option B: Wednesday: 20% off | Thursday: 40% off

Sellers who opt in acknowledge that the 30% commission is calculated based on the actual discounted sale price, and RACKD is not responsible for perceived "lost profit" on discounted items.

11. E-Commerce & Online Sales
  • ​Selection Discretion: RACKD reserves the right, in its sole and absolute discretion, to select specific items from a seller's inventory to feature and sell on our online store. We do not guarantee online placement for any seller, and management is not required to provide justification for the selection or non-selection of items.

  • ​Item Location and Labeling: Items selected for online sales will remain on the seller's physical rack in the store. These items will be specially marked with a star sticker and assigned an internal SKU number to track multi-channel availability.

  • ​Pricing: Items listed online will start at the original price assigned by the seller. Discount Days do not apply to items listed and sold online, discounts only apply to the items if sold in-store. RACKD reserves the right to increase the online listing price at our discretion. RACKD will never reduce the listing price below the seller's originally tagged price.

  • ​Payouts and Fees: If an item is successfully sold through the online store, the seller will receive their standard profit split. This split is calculated after any applicable e-commerce processing fees are deducted from the transaction.

  • ​Return Policy: All online sales are processed under an absolute final sale policy. Sellers will not be subject to online returns or reverse payouts once an online transaction is complete.

12. Refund & Forfeiture Policy

All rack rentals and add-ons are final, non-refundable, and non-transferable.

No refunds or credits will be issued for:

  • No-shows or missed drop-offs

  • Cancellations made fewer than seven (7) days before the scheduled rental start date

  • Failure to reschedule within the permitted timeframe

  • Early departures or unused rental time

  • Removal of prohibited, unsanitary, or low-quality merchandise

  • Scheduling conflicts, change of mind, or misunderstandings regarding the rental space

The following will result in immediate forfeiture of the remaining rental period, any applicable payouts, and future booking privileges when applicable:

  • Termination due to disruptive behavior, harassment, or policy violations.

  • Confirmed theft of merchandise or fraudulent activity.

  • Any other serious violation of this Seller Agreement, as determined by RACKD management.

Any refund or exception granted by RACKD is made solely at management's discretion and does not establish a precedent for future rentals.

13. Agreement

By booking a rack, sellers acknowledge that they have read, understood, and agree to this Seller Agreement and all policies posted on the RACKD website. Together, these documents constitute the complete agreement between the seller and RACKD.

RACKD may update these policies from time to time. The current version published on the RACKD website governs future rentals.

RACKD reserves the right to interpret and enforce its policies, and management's decisions regarding policy enforcement, exceptions, and disputes are final.

This agreement is governed by the laws of the State of Kansas. Any legal disputes not resolved through optional mediation shall be brought exclusively in the courts of Sedgwick County, Kansas.
